Terms of Service.

The agreement between you and Sera Club for site access, purchases, eligibility, prohibited use, and dispute terms.

These Terms of Service ("Terms") govern your access to and use of the website located at seraclub.us (the "Site") and any products or services offered by Sera Club LLC ("Sera Club," "we," "us," or "our"). By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility

You may use this Site only if you:

  • Are at least 21 years of age;
  • Have the legal capacity to enter into a binding contract;
  • Are a qualified researcher, scientist, or institutional purchaser acquiring products solely for in vitro laboratory research;
  • Will not use any product purchased from Sera Club for human consumption, animal consumption, food, cosmetic, medical, therapeutic, or diagnostic purposes; and
  • Are not located in a jurisdiction where the purchase or possession of our products is prohibited.

By placing an order, you affirm and represent that all of the above are true.

2. Products — Research Use Only

All products sold by Sera Club are research chemicals intended strictly for in vitro laboratory research purposes. They are NOT:

  • Drugs, medications, or pharmaceuticals;
  • Dietary supplements, foods, or cosmetics;
  • Medical devices;
  • Approved by the U.S. Food and Drug Administration (FDA) for any use in humans or animals;
  • Intended to diagnose, treat, cure, prevent, or mitigate any disease or condition.

Sera Club makes no representations or warranties regarding the safety, efficacy, dosing, or therapeutic effect of any product for use in humans or animals. No information on the Site constitutes medical advice. See our Research Use Only Disclaimer for additional terms governing product use.

3. Prohibited Uses

You agree not to:

  • Use any product for human or animal consumption or administration;
  • Resell, repackage, or redistribute products for human use;
  • Make any medical, therapeutic, dosing, weight-loss, healing, anti-aging, or treatment claims regarding our products;
  • Use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law;
  • Misrepresent your identity, age, or qualifications;
  • Interfere with the operation or security of the Site.

4. Orders, Pricing, and Payment

  • All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our discretion, including for suspected misuse, suspected fraud, or violation of these Terms.
  • Prices are listed in U.S. dollars and may change without notice. Pricing errors may result in cancellation of an order.
  • Payment is processed through a third-party payment processor. By submitting payment information, you authorize the charge for your order total, including any taxes and shipping fees.
  • Title and risk of loss pass to you upon delivery to the carrier.

5. Shipping

Shipping terms, processing times, and costs are described in our Shipping Policy, which is incorporated by reference into these Terms.

6. Returns and Refunds

All sales are final. Replacement may be available for products damaged or lost in transit, subject to our Refund Policy, which is incorporated by reference into these Terms.

7. Intellectual Property

All content on the Site — including text, graphics, logos, images, product descriptions, and the "Sera Club" name and marks — is the property of Sera Club LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written permission.

8. Disclaimers

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SERA CLUB DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

SERA CLUB MAKES NO WARRANTY REGARDING ANY PRODUCT'S SAFETY OR EFFECT WHEN USED OUTSIDE OF IN VITRO LABORATORY RESEARCH.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SERA CLUB LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OR MISUSE OF THE SITE OR ANY PRODUCT.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sera Club LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your use or misuse of any product, including any administration to humans or animals;
  • Your violation of these Terms;
  • Your violation of any applicable law or the rights of any third party.

11. Dispute Resolution — Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product shall be resolved exclusively through final and binding individual arbitration, and not in court. Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida, or another mutually agreed location, and shall be conducted in English.

Class Action Waiver. You and Sera Club agree that any dispute will be resolved only on an individual basis. You waive any right to bring or participate in a class, collective, or representative action. No arbitration or proceeding may be joined or consolidated with another without the written consent of all parties.

You may opt out of this arbitration agreement by sending written notice to support@seraclub.us within 30 days of first accepting these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Subject to the arbitration provision above, the state and federal courts located in Miami-Dade County, Florida shall have exclusive jurisdiction over any matter not subject to arbitration.

13. Changes to These Terms

We may update these Terms at any time. The "Last Updated" date at the top will reflect the most recent revision. Continued use of the Site after changes constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
